Business and Corporate Document Apostilles
Opening a foreign subsidiary, a bank account abroad or registering a branch? Foreign authorities usually want your company documents apostilled.

Quick answer
California business documents are apostilled one of two ways. Documents issued by the California Secretary of State, such as certified copies of articles of incorporation or organization and certificates of status (good standing), can be apostilled directly. Internal company documents, such as board resolutions, officer certificates, corporate powers of attorney and contracts, are signed by an officer before a California notary, and the notarization is apostilled.

Common business documents
| Document | Route |
|---|---|
| Articles of incorporation / organization (certified copy) | Order a certified copy from the Secretary of State, then apostille |
| Certificate of status (good standing) | Order from the Secretary of State, then apostille |
| Board resolution, secretary’s certificate, incumbency certificate | Officer signs before a notary; apostille the notarization |
| Corporate power of attorney | Officer signs before a notary; apostille |
| Contracts and distribution agreements | Signatories notarized; apostille |
| IRS Form 6166 (U.S. residency certification) | Federal apostille (U.S. Department of State) |
| Documents from a Delaware or other out-of-state entity | That state’s Secretary of State |
A note on officer capacity
California notarial certificates don’t certify that the signer is an officer of the company; they identify the person signing. If the foreign authority wants proof of authority, include a secretary’s certificate or incumbency certificate, itself notarized. See California acknowledgments.
